1. Acceptance of Terms
By accessing or using Verbanto ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service.
3. Your Content
You retain ownership of all documents, text, and data you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to process and store it solely for the purpose of providing the chatbot service to you. We do not use Your Content to train AI models, nor do we share it with third parties except as necessary to provide the Service.
You are solely responsible for Your Content and any consequences of uploading it. You must not upload content that is illegal, infringes on intellectual property rights, contains malware, or violates any applicable law or regulation.
4. AI-Generated Responses
The Service uses artificial intelligence to generate responses based on Your Content and the AI model in use. AI-generated responses may contain errors, inaccuracies, or outdated information. We do not guarantee the accuracy, completeness, or suitability of any AI-generated response. You should independently verify any critical information before relying on it.
5. Fair Use & Prohibited Conduct
You agree not to misuse the Service. Prohibited activities include: attempting to circumvent usage limits or rate limits, using the Service for spam, harassment, phishing, or fraud, uploading malicious code or content designed to harm the Service or other users, reverse-engineering or scraping the Service, and using automated tools to generate excessive or artificial traffic. We reserve the right to suspend or terminate accounts engaged in prohibited conduct at our sole discretion.
6. Subscription, Billing & Cancellation
Paid plans are billed in advance on a monthly basis. You may upgrade your plan at any time; the price difference is prorated. Downgrades take effect at the end of the current billing period. Free plans are subject to usage limits which may change with notice. All payments are non-refundable except as required by applicable law. We may modify pricing with at least 30 days advance notice. You may cancel your subscription at any time from your account settings.
7. Service Availability & Support
We strive to maintain high availability and performance but do not guarantee uninterrupted or error-free access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control. Support is provided on a reasonable-efforts basis according to your plan tier.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Verbanto and its operators, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from or relating to your use of or inability to use the Service, whether based on warranty, contract, tort, or any other legal theory. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Data Privacy & Security
We process personal data in accordance with applicable data protection laws. We implement reasonable technical and organizational security measures to protect your data against unauthorized access, alteration, or destruction. You are responsible for ensuring your use of the Service complies with all applicable data protection and privacy laws, including the GDPR where applicable. 10. Termination
You may close your account at any time through your account settings. We may suspend or terminate your access to the Service immediately if you breach these Terms, engage in prohibited conduct, or if required by law. Upon termination, your right to use the Service ceases immediately. We will delete Your Content from our active systems within 30 days of termination. Certain provisions of these Terms survive termination, including Sections 3, 8, and 9.
11. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our practices, or legal requirements. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
12. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
